Super League approved a deal that would bring 2,100 BTC and $2.5 million in cash, while giving Metaplanet a large stake and warrants for more shares.

Metaplanet’s 2,100 BTC Deal Could Recast Super League as a Bitcoin Treasury Company

Super League Enterprise’s proposed shift toward a bitcoin treasury business now has shareholder approval, with Metaplanet set to contribute 2,100 BTC and $2.5 million in cash. The transaction would give the Japanese company a substantial equity position and a route to acquire many more shares, while Super League’s gaming advertising operation is expected to continue.

The scale of the planned bitcoin contribution is already moving with the market. The 2,100 BTC was valued at about $132.1 million using the reference price set on Aug. 14. By the shareholder meeting on Oct. 16, the same bitcoin was worth approximately $170 million, a difference of $37.9 million before closing. That change reflects the asset’s price movement; it does not alter the stated quantity of bitcoin in the agreement.

What the approved transaction would change

Super League (Nasdaq: SLE) said shareholders approved all proposals tied to the investment at the company’s annual meeting on Oct. 16. The deal was first announced on Aug. 18. Metaplanet’s U.S. subsidiary would transfer the bitcoin and cash, and the companies expect to complete the transaction in the fourth quarter, subject to customary conditions and required Nasdaq filings. The approval is a major step, but closing remains a future event.

If it closes, Super League plans to rename itself Superplanet Inc. and trade on Nasdaq under the symbol SUPA. It would serve as Metaplanet’s U.S. bitcoin treasury platform. The stated plan combines that treasury role with the existing business, which sells advertising and branded experiences connected to gaming.

This structure would give Super League a large bitcoin reserve at the corporate level. It would also make the company’s financial profile more sensitive to bitcoin’s market value. The reported valuation moved by tens of millions of dollars between the August reference date and the October meeting. Future movements could affect the reported value of the treasury, even if the company’s bitcoin holdings did not change.

Metaplanet’s equity position and potential dilution

Under the agreement, Metaplanet would receive 44,859,400 common shares priced at $3 each, along with convertible preferred stock and 10-year warrants. Those warrants cover up to 381 million additional shares, with exercise prices ranging from $3 to $33.50. The agreement also gives Metaplanet the right to invest another $210 million through preferred securities over 24 months.

The common shares and certain future shares would be subject to a five-year lockup, with exceptions. The warrants and additional investment rights matter because the deal’s eventual ownership effects could extend beyond the initial share issuance. If warrants are exercised or preferred securities are converted, the number of shares could grow. The extent of any resulting dilution depends on how those instruments are used and on the terms described in the transaction.

Super League Chairman, CEO and President Matt Edelman said the approval brought the company closer to changing its corporate identity. “I’m deeply grateful to our stockholders for their support. Their approval brings us one step closer to redefining what this company can become,” he said. Edelman added that, if the transaction closes, the company would have a treasury seeded with 2,100 bitcoin alongside its operating business and the backing of a large corporate bitcoin holder.

Two corporate pivots meet

Super League traces its beginnings to Nth Games, founded in 2014. The business organized amateur esports competitions before expanding into gaming advertising, Roblox experiences and branded entertainment. It debuted on Nasdaq in 2019 and later changed its strategy and branding. Shares of SLE rose on the transaction news, closing 6.9% higher at the end of the trading day, according to TradingView’s SLE market page.

Metaplanet’s route to a bitcoin treasury began in a different industry. The Japanese company grew out of budget hospitality operations affected by the COVID-19 period. Under CEO Simon Gerovich, it shifted toward accumulating bitcoin, adopting the asset as its primary treasury holding in April 2024. Metaplanet reported holding 44,000 BTC as of Sept. 30, 2026, making it the second-largest publicly traded corporate bitcoin holder at that time, according to Bitcoin Treasuries.

The proposed deal links an American gaming advertiser with a Japanese company that has made bitcoin central to its treasury strategy. For Super League, the change would add a large digital asset reserve and a new corporate identity without ending its advertising activity. For Metaplanet, it would establish a U.S. vehicle for that strategy, though the final structure and share ownership depend on closing and on how its securities and warrants are used.

The key milestones to watch are completion of the transaction, the planned SUPA listing and the treatment of the new equity instruments. Until closing, the 2,100 BTC and cash contribution remain part of an approved proposal. If completed, the company’s operating results and bitcoin treasury will sit side by side, making both business execution and bitcoin valuation relevant to understanding its finances.
